1. Acceptance of these terms

By accessing or using Top Candidate(the "Service"), including the website at topcandidate.cc, any subdomain, the resume builder, blog, or any related tools we operate, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not use the Service. Your continued use of the Service constitutes ongoing acceptance of these Terms, as they may be updated from time to time.

2. The Service — what we do and don't promise

Top Candidate provides AI-assisted career tools, including resume generation, content suggestions, and related materials. The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied. We make no representations or warranties about the suitability, accuracy, completeness, reliability, or fitness for any particular purpose of the materials generated by the Service.

Any career, employment, financial, or other outcomes resulting from your use of the Service are your sole responsibility. We do not guarantee that any resume, document, or output produced will result in interviews, offers, employment, or any other outcome. You agree to perform your own due diligence and to review, verify, and edit any material before using it externally.

3. Limitation of liability

To the maximum extent permitted by applicable law, Top Candidate, its operators, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, employment, goodwill, use, data, opportunity, or other intangible losses, arising out of or in connection with:

• your access to, use of, or inability to use the Service;
• any content, materials, suggestions, or outputs generated, displayed, stored, or delivered by the Service;
• any errors, omissions, defects, interruptions, or delays in the operation or transmission of the Service;
• any unauthorized access to or alteration of your data, transmissions, or content;
• statements or conduct of any third party using or referenced by the Service; and
• any other matter relating to the Service.

This limitation applies regardless of the legal theory under which damages are sought (contract, tort, statute, or otherwise) and even if Top Candidate has been advised of the possibility of such damages.

4. Your content and your data

When you use the Service, you may provide information about yourself, your employment history, education, references to third parties, photographs, uploaded documents, or other personal data (collectively, "Your Content"). By submitting Your Content, you:

• confirm that you have the right to share it with us and that doing so does not violate any law or any third party's rights;
• grant Top Candidate a non-exclusive, worldwide, royalty-free licence to use, process, store, transmit, display, and modify Your Content for the purpose of operating, providing, and improving the Service;
• acknowledge that we may share Your Content with the third-party providers we rely on to operate the Service — including but not limited to AI providers, payment processors, hosting providers, email providers, file storage providers, and analytics providers — to the extent reasonably necessary to deliver the Service to you; and
• agree that we may retain Your Content for as long as reasonably needed to operate the Service, comply with our obligations, and improve our offerings.

We do not sell Your Content to third parties for advertising or marketing purposes. See our Privacy Policy for more on how we handle data.

5. Intellectual property

All intellectual property rights in the Service — including but not limited to the software, design, layout, branding, logos, templates, AI-generated content delivered to you, written articles, the "Top Candidate" name, and any associated wordmarks or trade dress — are and remain the sole and exclusive property of Top Candidate or its licensors.

You receive a personal, non-transferable, non-exclusive, revocable licence to use the deliverables generated for you (such as a resume) for your personal, non-commercial career purposes. You may not resell, redistribute, sublicense, or use our templates, design assets, or content programmatically to build competing products or services. Reverse engineering, scraping, or systematic extraction of content from the Service is prohibited.

6. Content on the website

Articles, blog posts, FAQs, and other written content on the website are provided for informational purposes only. They do not constitute legal, financial, medical, psychological, employment, or career-counselling advice. Users should conduct their own due diligence and consult qualified professionals where appropriate. We make no warranty that the content is accurate, current, or applicable to your situation.

7. Payments and refunds

Paid features are billed in advance via Stripe. By purchasing, you authorise the charge in the displayed amount and currency. Refunds are issued at our sole discretion. We will generally issue a refund if a paid deliverable is broken or not delivered as described, and we are unable to provide a corrected deliverable. Refunds for the subjective content, style, or tone of generated material are not provided — you can edit the output freely within the wizard.

8. Acceptable use

You agree not to use the Service to: violate any law; submit another person's personal information without their consent; submit content that is unlawful, defamatory, harassing, or infringes third-party rights; attempt to gain unauthorized access to any system; introduce malware or other harmful code; interfere with the operation of the Service; or use the Service to develop a competing product.

9. Third-party links and services

The Service may link to third-party websites or rely on third-party services. We are not responsible for the content, policies, or practices of any third party. Your use of any third-party service is governed by that party's own terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including for breach of these Terms. On termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including but not limited to disclaimers, limitations of liability, and intellectual property provisions) will survive.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Continued use of the Service after a change constitutes acceptance of the updated Terms. If a change is material, we will use reasonable efforts to notify you.

12. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws rules. Any dispute arising out of or related to the Service or these Terms will be brought exclusively in the courts located in Ontario, Canada, and you consent to the jurisdiction of those courts.

13. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Top Candidateregarding the Service.
